Overview

These Terms of Service ("Terms") govern your access to and use of the website operated by Perthshire Pty Ltd ("Perthshire", "we", "us", or "our"), including any websites, content, resources, assessments, calculators, frameworks, reports, communications, software interfaces, AI systems, workflows, downloads, services, and other materials made available by Perthshire (collectively, the "Services").

Perthshire is an Australian AI transformation and implementation company. We help organisations develop AI strategy, design AI operating models, implement AI first workflows, deploy AI agents and knowledge systems, and operationalise artificial intelligence at scale through the Perthshire AIOS Blueprint and related methodologies.

The Services may include educational content, implementation frameworks, assessments, calculators, templates, guides, articles, software enabled workflows, advisory services, AI generated outputs, downloadable resources, and other materials designed to support organisational AI transformation.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

Eligibility

By accessing or using the Services, you represent that you are at least 18 years of age or the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement.

You agree to use the Services in compliance with all applicable laws and regulations.

Perthshire reserves the right to suspend, restrict, or terminate access to the Services where reasonably necessary for security, legal, operational, commercial, or product reasons.

Where account access is provided, you are responsible for maintaining the confidentiality of your credentials and for all activities conducted under your account.

Nature of the Services

The Services may include:

Unless expressly stated otherwise in a separate written agreement, all Services are provided for informational, educational, implementation support, and business transformation purposes only.

Nothing contained in the Services constitutes legal advice, financial advice, accounting advice, taxation advice, cybersecurity advice, regulatory advice, employment advice, investment advice, or any other regulated professional advice.

Use of the Services does not create a fiduciary, advisory, employment, agency, partnership, or professional services relationship beyond any relationship expressly established through a separate written agreement.

You remain solely responsible for your own decisions, actions, business operations, governance processes, and implementation outcomes.

AI Systems and Automated Workflows

Some parts of the Services use artificial intelligence, automated workflows, large language models, machine learning systems, software agents, structured processes, and related technologies.

These systems are intended to support research, drafting, workflow execution, information retrieval, analysis, planning, and organisational capability building.

You acknowledge that AI generated outputs may:

  • contain errors

  • be incomplete

  • be inaccurate

  • be misleading

  • be outdated

  • omit relevant information

  • be unsuitable for a particular purpose

All outputs should be independently reviewed and validated before being relied upon.

Perthshire does not warrant that any AI generated output will be accurate, complete, current, reliable, or fit for a specific purpose.

Human review and professional judgement remain essential.

Resources, Calculators and Assessments

Perthshire may provide calculators, assessments, frameworks, templates, blueprints, guides, downloadable resources, AI generated outputs, and other informational tools through the Services.

These resources are provided for informational and educational purposes only.

Any outputs, scores, estimates, projections, recommendations, maturity ratings, implementation suggestions, benchmarking results, or insights generated through these resources are indicative in nature.

They should not be relied upon as professional, legal, financial, tax, compliance, technology, cybersecurity, operational, employment, or business advice.

The usefulness and accuracy of any output may depend on the quality, completeness, and accuracy of information provided by the user.

Users remain solely responsible for evaluating, validating, and acting upon any output generated through the Services.

Perthshire makes no representation or warranty that any resource, assessment, calculator, framework, template, blueprint, or output will be accurate, complete, suitable, error free, or capable of producing any specific outcome.

No Guarantee of Outcomes

AI transformation outcomes depend on a wide range of factors outside Perthshire's control, including:

  • leadership commitment

  • employee adoption

  • change management

  • governance processes

  • data quality

  • technology infrastructure

  • third party systems

  • implementation execution

  • business conditions

Accordingly, Perthshire does not guarantee:

  • successful AI transformation

  • workflow improvements

  • operational efficiencies

  • cost reductions

  • productivity gains

  • revenue growth

  • profitability improvements

  • return on investment

  • employee adoption

  • business performance improvements

  • regulatory outcomes

  • implementation success

Any examples, case studies, projections, estimates, benchmarks, or performance illustrations are provided for informational purposes only and should not be interpreted as guarantees of future results.

User Inputs and Responsibility

You are responsible for all content, files, instructions, prompts, information, and materials submitted through the Services.

You represent that you have all necessary rights, permissions, and authority to submit such content.

You must not submit content that is unlawful, defamatory, infringing, misleading, malicious, harmful, confidential without authority, or otherwise in breach of applicable law.

Perthshire is not responsible for verifying the accuracy, legality, ownership, completeness, or suitability of user supplied information.

The quality and usefulness of outputs may depend materially on the quality of information you provide.

Accuracy of Information

Perthshire makes reasonable efforts to ensure information provided through the Services is accurate at the time of publication.

However, we do not guarantee that any information, content, output, article, framework, assessment, or resource is complete, current, accurate, reliable, or free from error.

Content may be updated, revised, modified, suspended, or removed at any time without notice.

Any reliance on information provided through the Services is at your own risk.

Access and Availability

We do not guarantee that the Services will always be available, uninterrupted, secure, error free, or compatible with your systems.

Intellectual Property

All content made available through the Services is owned by or licensed to Perthshire and is protected by applicable intellectual property laws.

  • Calculators

  • Knowledge system designs

  • Training materials

  • Software interfaces

  • Branding

  • Documentation

  • Generated materials

  • Proprietary implementation processes

Perthshire retains all right, title, and interest in and to the Services and all related intellectual property.

Except as expressly permitted by law or by written agreement, you must not:

  • reproduce

  • distribute

  • modify

  • publish

  • sell

  • licence

  • reverse engineer

  • create derivative works from

  • commercially exploit

any part of the Services.

You must not use the Services, outputs, materials, frameworks, or methodologies to build, train, improve, benchmark, or support a competing product, service, platform, workflow, database, or business.

Third Party Services

The Services may contain links to or rely upon third party software, infrastructure providers, AI models, integrations, websites, tools, and platforms.

Perthshire is not responsible for the availability, content, performance, reliability, security, or policies of third party services.

Access to and use of third party services is at your own risk.

Feedback

If you submit suggestions, ideas, comments, improvements, corrections, or feedback, you grant Perthshire a perpetual, worldwide, irrevocable, royalty free, transferable, sublicensable licence to use, reproduce, modify, publish, and incorporate that feedback into its operations, products, methodologies, systems, and services without restriction or compensation.

Prohibited Uses

You must not use the Services:

  • for unlawful purposes

  • to infringe intellectual property rights

  • to violate confidentiality obligations

  • to distribute malicious software

  • to gain unauthorised access to systems

  • to scrape or systematically extract content

  • to interfere with service availability

  • to impersonate another person or organisation

  • to generate unlawful, fraudulent, harmful, or misleading content

  • to build competing products or services using Perthshire intellectual property

Perthshire reserves the right to suspend, restrict, or terminate access where these Terms are breached.

Fees and Paid Services

Certain Services may be provided on a paid, subscription, pilot, implementation, advisory, consulting, invitation only, or restricted access basis.

Perthshire may introduce, modify, withdraw, or revise pricing, usage limits, access rights, and service features at any time.

Where fees apply, additional commercial terms may be presented through a proposal, statement of work, service agreement, subscription agreement, or other written contract.

Where a conflict exists, the specific written agreement will prevail over these Terms.

Termination

Perthshire may suspend or terminate access to the Services at any time where reasonably necessary for legal, security, operational, commercial, or product reasons.

You may stop using the Services at any time.

Upon termination, your right to access and use the Services will cease immediately to the extent specified by Perthshire.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law, confidentiality, and any provisions intended by their nature to survive termination will continue to apply.

Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Perthshire makes no representations or warranties, express or implied, regarding:

  • availability

  • continuity

  • reliability

  • suitability

  • security

  • performance

  • completeness

  • accuracy

of the Services.

Perthshire does not warrant that the Services will meet your requirements, achieve any intended outcome, or be uninterrupted or error free.

Nothing in these Terms excludes, restricts, or modifies any rights that cannot be excluded under Australian Consumer Law.

Limitation of Liability

To the maximum extent permitted by law, Perthshire and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive loss or damage arising from or related to:

  • use of the Services

  • inability to use the Services

  • reliance on outputs

  • implementation decisions

  • AI generated content

  • assessments and calculators

  • workflow recommendations

  • transformation initiatives

  • business decisions

This includes loss of profits, revenue, opportunity, data, goodwill, business interruption, productivity, commercial outcomes, or anticipated savings.

Where liability cannot be excluded under applicable law, Perthshire's liability will be limited to the maximum extent permitted by law.

Indemnity

You agree to indemnify and hold harmless Perthshire and its directors, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable legal costs, arising from:

  • your breach of these Terms

  • misuse of the Services

  • violation of applicable law

  • infringement of third party rights

  • content or information submitted by you

  • your implementation or use of outputs generated through the Services

Governing Law

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia.

You submit to the exclusive jurisdiction of the courts of Western Australia.

Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Perthshire relating to the Services unless expressly supplemented or replaced by a separate written agreement.

Changes to These Terms

Perthshire may update these Terms from time to time.

Any updated version will be published on this page together with a revised "Last Updated" date.

Continued use of the Services after publication constitutes acceptance of the updated Terms.
