These Terms of Service ("Terms") govern your access to and use of the website operated by Perthshire Pty Ltd ("Perthshire", "we", "us", or "our"), including any websites, content, resources, assessments, calculators, frameworks, reports, communications, software interfaces, AI systems, workflows, downloads, services, and other materials made available by Perthshire (collectively, the "Services").
Perthshire is an Australian AI transformation and implementation company. We help organisations develop AI strategy, design AI operating models, implement AI first workflows, deploy AI agents and knowledge systems, and operationalise artificial intelligence at scale through the Perthshire AIOS Blueprint and related methodologies.
The Services may include educational content, implementation frameworks, assessments, calculators, templates, guides, articles, software enabled workflows, advisory services, AI generated outputs, downloadable resources, and other materials designed to support organisational AI transformation.
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.
Eligibility
By accessing or using the Services, you represent that you are at least 18 years of age or the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement.

Perthshire reserves the right to suspend, restrict, or terminate access to the Services where reasonably necessary for security, legal, operational, commercial, or product reasons.

Use of the Services does not create a fiduciary, advisory, employment, agency, partnership, or professional services relationship beyond any relationship expressly established through a separate written agreement.
You remain solely responsible for your own decisions, actions, business operations, governance processes, and implementation outcomes.
AI Systems and Automated Workflows
Some parts of the Services use artificial intelligence, automated workflows, large language models, machine learning systems, software agents, structured processes, and related technologies.
These systems are intended to support research, drafting, workflow execution, information retrieval, analysis, planning, and organisational capability building.
You acknowledge that AI generated outputs may:

Human review and professional judgement remain essential.
Resources, Calculators and Assessments
Perthshire may provide calculators, assessments, frameworks, templates, blueprints, guides, downloadable resources, AI generated outputs, and other informational tools through the Services.
These resources are provided for informational and educational purposes only.
Any outputs, scores, estimates, projections, recommendations, maturity ratings, implementation suggestions, benchmarking results, or insights generated through these resources are indicative in nature.
They should not be relied upon as professional, legal, financial, tax, compliance, technology, cybersecurity, operational, employment, or business advice.
The usefulness and accuracy of any output may depend on the quality, completeness, and accuracy of information provided by the user.
Users remain solely responsible for evaluating, validating, and acting upon any output generated through the Services.

You represent that you have all necessary rights, permissions, and authority to submit such content.

Perthshire is not responsible for the availability, content, performance, reliability, security, or policies of third party services.
Access to and use of third party services is at your own risk.
Feedback
If you submit suggestions, ideas, comments, improvements, corrections, or feedback, you grant Perthshire a perpetual, worldwide, irrevocable, royalty free, transferable, sublicensable licence to use, reproduce, modify, publish, and incorporate that feedback into its operations, products, methodologies, systems, and services without restriction or compensation.
Prohibited Uses
You must not use the Services:

Fees and Paid Services
Certain Services may be provided on a paid, subscription, pilot, implementation, advisory, consulting, invitation only, or restricted access basis.
Perthshire may introduce, modify, withdraw, or revise pricing, usage limits, access rights, and service features at any time.
Where fees apply, additional commercial terms may be presented through a proposal, statement of work, service agreement, subscription agreement, or other written contract.
Where a conflict exists, the specific written agreement will prevail over these Terms.
Termination
Perthshire may suspend or terminate access to the Services at any time where reasonably necessary for legal, security, operational, commercial, or product reasons.
You may stop using the Services at any time.
Upon termination, your right to access and use the Services will cease immediately to the extent specified by Perthshire.
Sections relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law, confidentiality, and any provisions intended by their nature to survive termination will continue to apply.
Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, Perthshire makes no representations or warranties, express or implied, regarding:

Indemnity
You agree to indemnify and hold harmless Perthshire and its directors, officers, employees, contractors, affiliates, licensors, and service providers from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable legal costs, arising from:

Governing Law
These Terms are governed by the laws of Western Australia and the Commonwealth of Australia.
You submit to the exclusive jurisdiction of the courts of Western Australia.
Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and Perthshire relating to the Services unless expressly supplemented or replaced by a separate written agreement.

Perthshire may update these Terms from time to time.
Any updated version will be published on this page together with a revised "Last Updated" date.
Continued use of the Services after publication constitutes acceptance of the updated Terms.
